Terms of Service
1. Agreement
These Terms of Service ("Terms") govern your access to and use of the Arcvue platform ("Service"), operated by Arcvue LLC, a Virginia limited liability company ("Arcvue," "we," "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Arcvue is a cloud-hosted financial intelligence platform designed for government contractors. The Service connects to your accounting and ERP systems via authorized API or data integrations, imports your financial data, and provides dashboards, forecasting, scenario planning, pricing analysis, and related tools. Arcvue reads data from your connected systems on a read-only basis and does not write data back to your ERP.
3. Accounts and Access
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Each customer organization ("Tenant") receives a dedicated environment accessible via a unique subdomain (e.g., yourcompany.arcvue.ai). You agree to notify us immediately of any unauthorized access to your account.
4. Data Ownership
You retain all ownership rights to your data. Arcvue does not claim any ownership interest in the data you import into the platform. Your data is stored in a dedicated, physically separate database that is not shared with any other customer. We will not access your data except as necessary to provide the Service, troubleshoot issues at your request, or comply with legal obligations.
5. Data Isolation
Each Tenant's data is stored in a dedicated database file, physically separate from every other Tenant. There is no shared database, no row-level filtering, and no code path by which one Tenant's data can be accessed by another Tenant. Your data is encrypted at rest using AES-256 encryption and encrypted in transit using TLS 1.2 or higher.
6. Permitted Use
You may use the Service for your internal business purposes. You may not: (a) sublicense, resell, or redistribute access to the Service; (b) reverse engineer, decompile, or attempt to derive the source code; (c) use the Service to store classified, ITAR-controlled, or export-controlled data; (d) attempt to access data belonging to any other Tenant; or (e) use the Service in any manner that violates applicable law.
7. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by factors outside our control, including internet connectivity issues, third-party service outages, or force majeure events.
8. Fees and Payment
Access to the Service is provided on a subscription basis. Pricing, payment terms, and billing frequency are set forth in your Order Form or Subscription Agreement. Fees are non-refundable except as expressly stated in your agreement.
9. Termination
Either party may terminate the subscription in accordance with the terms of the applicable agreement. Upon termination, we will provide you with a complete export of your data in a standard format (SQLite or CSV) within thirty (30) days of your request. After the export period, your data and database will be permanently deleted from our systems.
10. Limitation of Liability
The Service is provided for informational and planning purposes. Arcvue is not a licensed accounting firm, financial advisor, or legal advisor. You are solely responsible for any business decisions made based on information presented by the platform. To the maximum extent permitted by law, Arcvue's total liability is limited to the fees paid by you in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that data calculations will be accurate in all circumstances.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email to your account administrator. Continued use of the Service after changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Arlington County, Virginia.
